1. Agreement to these terms
These Terms of Service (“Terms”) govern your use of unicuscapital.com and the online services operated by Unicus Capital LLC (“Unicus,” “we,” “us,” or “our”). By accessing or using the website or submitting information through it, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the services.
You must be at least 18 years old and legally able to enter into these Terms. If you act for a company or another person, you represent that you have authority to bind or provide information for that party.
2. Unicus Capital’s role
Unicus is a private capital advisory institution. Unicus is not a bank and does not itself make credit decisions or guarantee financing. We may help a business understand its position, organize information, consider potential structures, and communicate an authorized request to prospective financing providers or other counterparties.
Submitting an inquiry, introduction, assessment, application, or document does not create a commitment to lend, arrange financing, provide a particular product, or enter an advisory relationship. Any financing is subject to independent eligibility, verification, underwriting, documentation, and approval by the applicable provider. Rates, fees, amounts, repayment terms, collateral requirements, and availability vary and are not final unless stated in definitive written documents from the relevant provider.
3. Information and authorizations
You agree to provide accurate, current, and complete information and to update it when necessary. You must not submit information or documents you are not authorized to provide.
When you sign or accept a specific application, credit authorization, disclosure, or consent, that document governs the authorization it describes. Depending on the request, you may authorize Unicus and designated prospective financing recipients to obtain, verify, use, and exchange business, banking, identity, credit, and related information. Merely browsing the website does not provide credit authorization.
You are responsible for reviewing all provider disclosures and definitive agreements before accepting any transaction. You should consult your own legal, tax, accounting, and financial advisers regarding your circumstances.
4. Electronic communications and signatures
You consent to receive transactional records, notices, disclosures, and communications electronically when you use an electronic workflow. You may retain electronic records by printing or saving them. You may request a paper copy by contacting us; reasonable delivery charges may apply where permitted.

Operational communications about a request you initiated are distinct from marketing consent. Marketing calls or texts are sent only under an applicable consent or other lawful basis. Advertisements, educational materials, examples, estimates, eligibility descriptions, and website content are general information—not a promise, approval, commitment, or individualized offer. Illustrative amounts, timing, rates, or structures may not be available to every business. No statement should be understood as guaranteeing approval, funding speed, lowest pricing, savings, or a particular outcome.
Unicus does not provide legal, tax, investment, or accounting advice through general website content. References to third-party services do not imply that every provider is available or appropriate for every request.
7. Third-party services
The services may integrate with or link to providers, document-storage services, identity or credit services, advertising platforms, communications providers, and other third parties. Third-party services are governed by their own terms, disclosures, and privacy policies. We are not responsible for their independent acts, availability, underwriting decisions, or content.
8. Intellectual property
The website, institutional design, software, text, research, imagery, trademarks, service marks, and other content are owned by or licensed to Unicus and protected by applicable law. Subject to these Terms, we grant you a limited, revocable, nonexclusive, nontransferable right to use the public site and authorized secure services for their intended purpose.
9. Disclaimers and limitation of liability
To the fullest extent permitted by law, the website and online services are provided “as is” and “as available.” We disclaim implied warranties of merchantability, fitness for a particular purpose, title, and noninfringement. We do not warrant uninterrupted operation, error-free content, or any financing or business result.
To the fullest extent permitted by law, Unicus and its officers, employees, and agents will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, lost profits, lost opportunities, or lost data arising from the website or services. Nothing in these Terms excludes liability that cannot lawfully be excluded.
10. Responsibility for misuse
To the extent permitted by law, you agree to defend, indemnify, and hold harmless Unicus and its officers, employees, and agents from third-party claims, losses, and reasonable costs arising from information or documents you submit without authority, your unlawful misuse of the services, or your material violation of these Terms.
11. Governing law and disputes
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles. Unless applicable law requires otherwise, claims relating to these Terms or the website must be brought in a state or federal court with jurisdiction in Broward County, Florida. Before filing a claim, the parties agree to make a good-faith effort to resolve the matter informally through written notice.
12. Changes and general terms
We may update these Terms to reflect changes in law, services, or practices. The “Last updated” date identifies the current version. Continued use after an update constitutes acceptance to the extent permitted by law. If a provision is unenforceable, the remaining provisions remain effective. Our failure to enforce a provision is not a waiver.
